Unless otherwise specifically stated, a quotation does not guarantee inventory allocation.

A quotation does not constitute acceptance of an order or purchase order.

Orders based on quotations remain subject to final review and acceptance by Novosoft LLC.

If a manufacturer, distributor, supplier, freight provider, or other third party changes pricing, availability, shipping costs, product configuration, or related terms before order acceptance, Novosoft LLC may revise the quotation accordingly.

7. Orders and Order Acceptance

Submission of an order or purchase order does not automatically constitute acceptance by Novosoft LLC.

An order is accepted only after Novosoft LLC confirms acceptance, processes the order, or ships the applicable products.

Novosoft LLC may decline or cancel an order for reasons including:

Product unavailability.

Pricing or listing errors.

Payment issues.

Credit concerns.

Fraud prevention.

Manufacturer restrictions.

Export-control restrictions.

Compliance requirements.

Shipping restrictions.

8. Purchase Orders

Purchase orders submitted to Novosoft LLC are subject to review and acceptance.

Additional or conflicting terms contained in purchase orders, procurement portals, vendor forms, acknowledgments, or similar documents are not binding unless expressly accepted by Novosoft LLC in writing.

For government transactions, applicable contractual provisions specifically incorporated into an accepted order may control where they conflict with these Terms and Conditions.

9. Payment Terms

Payment terms are determined based on the applicable order, quotation, customer account, credit approval, or written agreement.

Novosoft LLC may require advance payment, credit card payment, electronic payment, wire transfer, ACH payment, approved purchase order, or other acceptable payment method.

Customers granted credit terms must make payment according to the terms stated on the invoice or applicable agreement.

Novosoft LLC reserves the right to suspend shipments, cancel pending orders, or modify credit terms if payments become overdue or credit conditions change.

Customers are responsible for reasonable costs associated with collecting valid overdue amounts to the extent permitted by law.

10. Taxes

Customers are responsible for all applicable sales, use, excise, transaction, and similar taxes unless a valid tax-exemption certificate or other legally acceptable documentation has been provided to Novosoft LLC.

Tax-exempt customers are responsible for providing complete and accurate exemption documentation before an order is processed.

Novosoft LLC may collect taxes when required by applicable law.

11. Shipping and Delivery

Shipping methods, carriers, delivery estimates, and freight charges may vary depending on product availability, destination, supplier, product size, order value, and customer requirements.

Delivery dates and transit times are estimates unless expressly guaranteed in writing.

Requests to change a shipping address after an order has been processed may be subject to approval, carrier restrictions, fraud-prevention procedures, and additional charges.

13. Risk of Loss

Risk of loss and responsibility for products will transfer in accordance with the applicable shipping terms, carrier terms, quotation, purchase order, or written agreement.

Customers should inspect shipments promptly upon delivery.

Visible shipping damage, shortages, or incorrect packages should be documented and reported promptly to Novosoft LLC and, where appropriate, to the delivering carrier.

14. Order Cancellation

Customers should contact Novosoft LLC as soon as possible if they wish to cancel an order.

Cancellation is not guaranteed once an order has been submitted for processing.

Orders involving special-order products, configured products, software licenses, manufacturer-direct shipments, non-returnable products, custom products, or products already released for shipment may not be cancelable.

Cancellation charges imposed by manufacturers, distributors, suppliers, logistics providers, or other third parties may be passed through to the customer where applicable.

15. Returns

Returns are subject to Novosoft LLC's applicable return procedures and the return policies of the relevant manufacturer, distributor, or supplier.

Return eligibility may depend on:

Product condition.

Original packaging.

Serial number.

Time since delivery.

Manufacturer restrictions.

Distributor restrictions.

Software licensing status.

Whether the product has been opened, installed, activated, registered, or used.

Software licenses and digital products may become non-cancelable and non-returnable once ordered, issued, activated, registered, or electronically delivered.

18. Manufacturer Warranties

Products sold by Novosoft LLC may include warranties provided by the original manufacturer.

Warranty duration, coverage, limitations, eligibility, repair procedures, replacement procedures, and technical support are determined by the applicable manufacturer.

Unless expressly stated otherwise in writing, Novosoft LLC does not provide a separate manufacturer-equivalent warranty in addition to the warranty provided with the product.

20. Government and Public-Sector Sales

Novosoft LLC may provide products and services to federal, state, local, educational, public-sector, and government-contractor customers.

Government orders may be subject to additional procurement requirements, contract clauses, solicitation terms, agency requirements, or applicable laws.

21. TAA-Compliant Products

Novosoft LLC can assist customers with sourcing products intended to meet Trade Agreements Act requirements when such products are available.

The presence of a product in the Novosoft catalog does not mean that the product is automatically TAA compliant.

TAA eligibility may depend on the specific manufacturer, part number, country of origin, product revision, manufacturing location, applicable procurement program, and governing contract requirements.

Customers requiring TAA-compliant products must communicate that requirement before ordering.

Novosoft LLC may rely on country-of-origin and compliance information supplied by manufacturers, distributors, and other authorized sources.

22. FAR and DFARS Requirements

Novosoft LLC supports customers with procurement requirements involving FAR, DFARS, and related federal acquisition regulations where applicable.

Specific FAR, DFARS, agency, cybersecurity, sourcing, domestic preference, supply-chain, or country-of-origin requirements must be identified as part of the applicable solicitation, quotation request, purchase order, or contract.

Novosoft LLC will evaluate applicable requirements based on the specific transaction and available supplier or manufacturer information.

Nothing on the Novosoft website should be interpreted as a representation that all products or transactions automatically satisfy every FAR or DFARS requirement.

23. SAM.gov and Federal Procurement

32. Limitation of Liability

34. Force Majeure

Novosoft LLC will not be responsible for delays or failures caused by events beyond its reasonable control.

Order acknowledgments, quotations, invoices, shipping notices, support communications, and other business communications may be provided electronically.

36. No Waiver

Failure by Novosoft LLC to enforce any provision of these Terms and Conditions does not constitute a waiver of that provision or any other provision.

37. Severability

Customers may not assign their rights or obligations under these Terms and Conditions without the prior written consent of Novosoft LLC where consent is legally required.

Novosoft LLC may assign its rights or obligations in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or other lawful business transaction.

39. Governing Law

These Terms and Conditions are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable federal law or another governing contract requires otherwise.

Any dispute arising from these Terms, the Novosoft website, or a transaction with Novosoft LLC will be subject to the jurisdiction of the appropriate courts located in Virginia, unless another jurisdiction is required by applicable law or an applicable government contract.

40. Government Contract Precedence

For an order placed under an applicable federal, state, or local government contract, any mandatory contract provisions legally incorporated into that transaction will control to the extent they directly conflict with these Terms and Conditions.

All other provisions of these Terms and Conditions will remain applicable to the extent permitted.

41. Changes to These Terms

Novosoft LLC may revise these Terms and Conditions when necessary to reflect changes in business practices, website functionality, legal requirements, regulatory requirements, or procurement procedures.
